Products or services are offered by Merchants for the buyers who purchase such product or service. The terms include, but not limited to price, taxes, shipping costs, payment terms, refund policy, delivery method, after sales services related to products and services. Order Plate Utopia does not control or determine or involve itself regarding the terms between the Buyers and Merchants. Order Plate Utopia supports order processing, payment processing on behalf of the merchant for fulfilment of merchant orders. This support must be related to merchant's sale using the platform provided by order plate utopia.
Orders accepted by merchant using Order Plate Utopia's platform, merchant agrees to process the orders and complete its orders within a resonable timeframe, to the best of its capacity. Order Plate Utopia doesn't control or be responsible for the quality of the products or services being offered, the time taken to provide such service and justifiable expense for such products or services. Order fulfilment is merchants responsibility.
Merchants must manager its own delivery personnel, cars or other means of transportation, for its committment to deliver on time. Order Plate Utopia is not responsible for delivery of a product by any means, but provide its platform to manage and process delivery orders. Merchants needs to determine how and when order delivery should be arranged, whether to charge extra for delivery and other logistics.
Order Plate Utopia is not responsible for unsatisfactory products or services, damages delays or missing products offered by merchants. Buyers must contact merchants directly if any such disputes arise regarding any product or service.
Order Plate Utopia may accept disputes or complians from the buyer and provide such feedback to the merchants. It is merchant's responsibility to handle such disputes, refund money to the customer or provide free coupons/services for next visit. However, this will be sole discretion of the merchants with no involvement from Order Plate Utopia.
Merchants hold its right to cancel or reject their products and or services at any time, with or withour prior notice. In a situation where customer has paid for an order that can't be processed by merchant, partially or fully, it is the responsibility of merchants to refund money for such transcations (by cash or card) or provide credit for future orders as agreeable to the customers. Order Plate provides refund option in their platform and will facilitate the process.
Your usage, as an user of the platform provided by Order Plate Utopia, whether buyer or merchant, will be governed by the following regulations:
We will create your merchant account for your use of the Platform based on the information you provide. Employees working for merchants (including business owner) requires to login to the platform / system to view the data they are allowed to view and perform actions they have permissions. Merchants and its employees must have a valid email account.
Customers (Buyers) are advised to login using their Facebook or google login credential and use our platform. While buyers may place an order without login (as a guest), buyers will not be able to view the status of their orders. Buyers will, however, receive email and SMS notification, as the order gets processed by merchant. Guest access may not be available, based on your country/state where you reside and laws restricting such unnamed orders being submitted to any order processing system.
User are allowed to create account with the correct information and not using fake data or information related to someone else into our system.
Order plate reserves the right to cancel or terminate (user or merchant) accounts at any point, if it determines any violation of its terms of use, any unlawful act or any potentially harmful malpractice that caused or may cause financial damage or damage repuation of Order plate or its affiliates or other partners.
Order Plate owns copyright for the platform / software and declares that the software and programs were built, developed, tested and implemented by Order Plate, its affiliates and partners, which may be protected by copyright, and other applicable intellectual property and proprietary rights and laws. The software is developed as original work and substantial time, effort and investment has gone in for market research, study, develop and build, test and implementation of the software. All data captured and stored are secure and accessible via appropriate means and only via our platform. Order plate doesn't exchnage, sale or otherwise make any personal data available to anyone outside, except for the the authorized employees or consultants who hold technical responsibility for this data and its security. All data centers are located within the same country where customer and merchants are located.
We grant you (customers and merchants) a limited, non-transferable license to access and use the platform only as permitted in our Terms of use. You shall not use the Services for any illegal purpose or in any manner inconsistent with these Terms.
Our data is protected and may contain sensitive information of users who are registered with us. You should refrain from gaining access or misuse for personal gain, leak information related to such protected data.
Order Plate platform allows buyers to place order online and once merchant accepts the order (or payment), merchant becomes liable for order fulfilment. If merchant fails to process an order already in the system, merchant needs to contact the buyer and inform at the earliest of such cancelation. If order is already paid, merchant must arrange for a refund at their earliest convenience. If order quantity is unusually high or beyond merchants capacity to fulfil the order, merchant can cancel the order. Such orders may be processed with prior communicaiton between buyer and merchant, to ensure proper and timely delivery of high volume orders. In general, all orders placed are confirmed and merchant can process the order for fulfilment. If merchant fails to fulfill an order, merchant must work with the buyer for any clarifications / refund / cancellation.
Future orders can also be placed through our platform. Future order can't be processed until it becomes current via our platform.
Buyers need to provide their information while paying online via credit/debit cards. If buyer uses other payment methods like paytm, UPI, Netbanking and such, buyer needs to provide info/credentials for such payment methods, as required. Buyer should not use card or account information for someone else. Order plate will not be responsible for issues/disputes that arises due to such unauthorized usage of card/bank account information.
Customer is responsible to pay merchant the online bill for the products or services, which includes applicable tax as per the country's tax laws.
Merchants provides and maintains the quality of product, time to process, maintain hygene and timely delivery. Order plate has no influence over factors affects the quality of service provided by merchants. Order Plate is not responsible for unavailability or product or service.
Order Plate don't endorse any merchant or directly promotes merchants. Order plate, however, market the system / platform that is a marketplace for all merchants signed up with us.
Buyer must verify all information in the purchase recepts before making a payment. Disputes arising between buyer and merchant regarding the food quality, delay in delivery, cost vs quality must be sorted out between buyer and merchant, without any involvment and participation from Order plate. Order plate may facilitate / initiate the conversation regarding such topic, but ultimately merchant needs to resolve this with buyer.
By using the Services, you agree that any legal remedy that you seek to obtain for actions or omissions of other third parties will be limited to a claim against the particular third parties that caused you harm and you agree not to impose liability and / or seek legal remedy or claim compansation from Order plate as a reult of such actions or omissions. Order Plate uses other third party services for order fulfilment and payment processing on behalf of the merchant. Buyer and merchant will not hold merchant liable for any failures or unavailability of such third party services.
Certain products has special requirement for purchase, such as doctors prescription for pharmacy products, legal age requirement for alcohol and tobacco products, depending on the rules and government regulations for the specific country.
Order plate, as of publishing this terms of use, doesn't permit any merchant to sale, supply, transport, prepare, ship products like firearms, hazardous items, explosive or highly inflammable items, gasoline, or goods whose sale, posesssion, transportation is considered illegal by the local government.
THE PLATFORM UNDERGOES MODIFIDCATIONS AND UPGRADES FROM TIME TO TIME, AND SOME FUNCTIONS MAY NOT BE FULLY OPERATIONAL.
INFORMATION IS COLLECTED FROM MULTIPLE SOURCES AND ELECTRONIC DATA EXCHANGE MAY LEAD TO MISCALCULATIONS OR INCLUDE ERRORS, THERE MAY BE DELAYS, OMISSIONS, INTERRUPTION OF SERVICES, OR INACCURACIES IN THE CONTENT PROVIDED ON OUR PLATFORM.
WE EXPRESSLY DISCLAIM ALL LIABILITIES THAT MAY ARISE AS A CONSEQUENCE OF ANY UNAUTHORIZED USE OF CREDIT/ DEBIT CARDS, OR ANY UNAUTHORIZED USE OF YOUR FINANCIAL ACCOUNTS, DUE TO (BUT NOT LIMIATED TO) PASSWORD SHARING, STOLEN DEVICE OR OTHER INCIDENTAL SITUATIONS.
THIRD PARTY SERVICES ARE AVAILABLE AND BEING USED ON OUR PLATFORM. WE MAY HAVE FORMED PARTNERSHIPS OR ALLIANCES WITH SOME OF THESE THIRD PARTIES FROM TIME TO TIME IN ORDER TO FACILITATE CERTAIN SERVICES OR FEATURES TO YOU. HOWEVER, YOU ACKNOWLEDGE AND AGREE THAT AT NO TIME ARE WE MAKING ANY REPRESENTATION OR WARRANTY REGARDING ANY THIRD PARTY'S SERVICES NOR WILL WE BE LIABLE TO YOU OR ANY THIRD PARTY FOR ANY CONSEQUENCES OR CLAIMS ARISING FROM OR IN CONNECTION WITH SUCH THIRD PARTY INCLUDING, AND NOT LIMITED TO, ANY LIABILITY OR RESPONSIBILITY FOR, ANY INTERRUPTIONS OR ERRORS OR DELAYS WITH THE THIRD PARTY SEVICES. YOU HEREBY DISCLAIM AND WAIVE ANY RIGHTS AND CLAIMS YOU MAY HAVE AGAINST US WITH RESPECT TO THIRD PARTY'S / MERCHANT’S SERVICES.

THE INFORMATION PROVIDED HEREUNDER IS PROVIDED "AS IS". EMPLOYEES OR CONTRACTORS OR BUSINESS AFFILIATES, PARTNERS OF ORDER PLATE MAKE NO WARRANTY OR REPRESENTATION REGARDING THE CONTENT, ITS ACCURACY OR COMPLETENESS OF ANY INFORMATION OR DATA FURNISHED HEREUNDER.
WE SHALL NOT BE LIABLE TO YOU OR ANYONE ELSE FOR ANY LOSSES OR INJURY ARISING OUT OF OR RELATING TO THE INFORMATION PROVIDED ON THE PLATFORM.
IN NO EVENT WILL WE BE LIABLE FOR ANY DAMAGES (INCLUDING, WITHOUT LIMITATION, DIRECT OR INDIRECT, EXEMPLARY DAMAGES, DAMAGES ARISING FROM PERSONAL INJURY/WRONGFUL DEATH) OR DAMAGES RESULTING FROM LOST PROFITS, LOST DATA OR BUSINESS INTERRUPTION, RESULTING FROM ANY SERVICES PROVIDED BY ANY THIRD PARTY OR MERCHANT ACCESSED THROUGH THE PLATFORM.
You may choose to terminate the order plate SUPER membership and a notice communicating such intention shall be sent to order plate and the upon such termination the membership fee shall be appropriated.
We may terminate your order plate SUPER membership at our discretion without notice. If we do so, we will issue a credit note to you and give you a prorated refund based on the number of full months remaining in your membership. However, we will not give any refund for termination related to conduct that we determine, in our discretion, violates these Terms or any applicable law, involves fraud or misuse of the order plate SUPER membership, or is harmful to our interests or another user. Our failure to insist upon or enforce your strict compliance with these Terms will not constitute a waiver of any of our rights.
UNDER NO CIRCUMSTANCES, WE OR OUR DIRECTORS, EMPLOYEES OR OTHER REPRESENTATIVES BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, CONSEQUENTIAL OR PUNITIVE DAMAGES, OR ANY OTHER DAMAGES OF ANY KIND, ARISING OUT OF OR RELATED TO ORDER PLATE.
order plate reserves its right to alter/ withdraw/ extend any offers/ promotions at any time without giving any prior notice & without assigning any reason whatsoever.
